Richard Fisher is special counsel in the Firm’s Savannah office with more than forty years of experience as a partner in a major Boston law firm, as chief executive officer and chairman of two public companies, and as general counsel of several private and public companies. He brings to the Firm diverse experience as a senior corporate executive, as a transaction attorney with emphasis on capital formation, and as inside and outside counsel. He co-founded two companies and raised capital for each through institutional private capital and public financings. His practical experience as an executive enables him to counsel clients from the perspective of one who has had years of profit and loss responsibility.

Richard has taken companies from inception through exit and has had front-line exposure to many of the legal issues that start-ups, development-stage, and growing enterprises inevitably encounter. He has retained outside counsel and understands well what clients expect from their attorneys.

Richard has operational and legal experience in aerospace, defense, advanced materials, sporting goods, energy, education, structured finance, clothing, beverage, and food industries, among others. He has negotiated licenses with Fortune 500 companies as well as with technology companies and manufacturers in Hungary, England, and Taiwan. He has considerable experience with complex structured finance transactions and has been involved in capital raises as principal and as counsel ranging from seed capital to millions of dollars. He has broad buy-side and sell-side transactional experience. As executive, he has been instrumental in business plan development, marketing, and branding and, for public companies, has been responsible for developing investor relations programs and giving company presentations worldwide.

As in-house general counsel of both private and public companies, Richard has advised management on a broad range of legal issues that arise in the day-to-day operation of a business, on compliance with the securities laws, and on the development and implementation of business strategy.

Richard also brings his years of corporate and tax experience to bear on issues relating to the formation of funds and businesses seeking to take advantage of the new Opportunity Zone tax laws, including in particular structuring transactions that involve private placements exempt from registration under federal and state securities laws.

Richard is admitted to the State Bar of Georgia, the Bars of the Commonwealths of Virginia and Massachusetts, and the District of Columbia Bar as well as the U.S. Supreme Court and the U.S. Tax Court.

Richard graduated with a B.A. in Economics from Northwestern University in 1968 and a J.D. from the University of Virginia School of Law in 1971, where he was an editor of the Virginia Journal of International Law.

Richard was staff assistant to the chief counsel of the Internal Revenue Service (a Presidential appointee) and served as a captain in the U.S. Army Infantry.

Richard has remained active at the University of Virginia School of Law as a member of the Alumni Association and as a Life Member of the Dean’s Council.
